Cerno Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and CERNO GROUP LTD ("Cerno", "we", "us", "our") and govern your use of the Cerno website at cerno.group, the Cerno mobile app, and all related content and services (together, the "Service").
Please read these Terms carefully. By creating an account, joining a waitlist, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and age
You must be at least 13 years old to use the Service. If you are 13–17, you confirm that you are allowed to use the Service and that a parent or guardian is aware of your use. If you are under 18, you may only enter into a paid subscription with the permission of a parent or guardian who agrees to be responsible for the payments. We may introduce parent/guardian-managed accounts in future.
You confirm that the information you give us when you register is accurate.
2. Your account
You are responsible for keeping your login details secure and for activity under your account. Tell us promptly at info@cerno.group if you think your account has been compromised. You may not share your account, sell it, or let others use it.
3. Licence to use Cerno
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial learning and development.
You may not:
- copy, reproduce, distribute, resell, sub-licence, or publicly display our content;
- use the Service to build or train a competing product, or to text- or data-mine our content, except to the extent this cannot lawfully be restricted;
- reverse engineer, decompile, or attempt to extract source code, except to the extent the law permits;
- remove or alter any notices; or
- use the Service in breach of our Acceptable Use Policy.
All intellectual property in the Service — including our content, exercises, word banks, text, design, branding, and software — belongs to us or our licensors. These Terms do not give you any ownership of it.
Anything you submit through the Service (for example, contact-form messages or feedback) remains yours, but you grant us a licence to use it to operate and improve the Service and to respond to you.
4. Free and paid tiers
Cerno offers a free tier and one or more paid subscription tiers. Features included in each tier are described on our website and in the app and may change over time.
4.1 Subscriptions and auto-renewal
Paid tiers are offered as auto-renewing subscriptions, billed monthly or annually depending on the plan you choose. This means:
- Your subscription renews automatically at the end of each billing period at the then-current price for your plan, and your chosen payment method is charged, until you cancel.
- Before you subscribe, we show you the price, the billing frequency, the renewal price, and how to cancel. You must give your affirmative consent to these auto-renewal terms before you are charged.
- We will send you a confirmation of your subscription that you can keep, and reminders before renewals and before any price change, as required by law.
4.2 Prices and payment
Prices are shown inclusive of applicable taxes and any mandatory fees before you buy. We may change prices for future billing periods; we will give you advance notice and the chance to cancel before a price change takes effect. Payment is taken through our payment providers (Stripe on the website; Apple App Store / Google Play in the app) — your purchase is also subject to that provider's terms.
4.3 Immediate access
When you buy a subscription, we give you immediate access to the paid features. Because the paid content is digital and supplied to you straight away, specific rules apply to cancellation and refunds — these are set out in our Refund and Cancellation Policy, which forms part of these Terms.
4.4 Cancelling
You can cancel your subscription at any time — on the website through your account settings, or, if you subscribed through the Apple App Store or Google Play, through your Apple or Google account. When you cancel, you keep access until the end of the period you have already paid for, and it does not renew after that. Cancellation and refund details are in the Refund and Cancellation Policy.
5. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate accounts that breach it.
6. Changes to the Service
We are actively developing Cerno. We may add, change, or remove features, and we may update content, to improve the Service. We will try not to reduce the core value of a paid tier during a period you have paid for; if we make a significant change that materially reduces what you paid for, you may cancel and we will deal with any refund fairly and in line with your legal rights.
7. Availability
We work to keep the Service available but we do not guarantee it will be uninterrupted or error-free. We may suspend the Service for maintenance, updates, or reasons outside our control. The Service also depends on your device and internet connection, which are your responsibility.
8. Your statutory rights (consumers)
Nothing in these Terms affects your non-excludable legal rights as a consumer. In the UK, under the Consumer Rights Act 2015, digital content we supply must be of satisfactory quality, fit for purpose, and as described; if it is not, you are entitled to a remedy, and we cannot exclude or limit those rights. Consumers in the EU and other countries have equivalent protections. Where anything in these Terms conflicts with your mandatory statutory rights, your statutory rights prevail.
9. Our responsibility to you
We provide the Service with reasonable skill and care. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable skill and care, but we are not responsible for:
- loss or damage that was not foreseeable;
- loss or damage caused by events outside our reasonable control;
- your failure to meet the technical requirements to use the Service; or
- any business loss (the Service is provided for personal use only).
We do not limit or exclude our liability where it would be unlawful to do so — including for death or personal injury caused by our negligence, for fraud, or for your statutory consumer rights. Cerno is an educational and self-development tool; it does not provide professional, legal, medical, or academic-accreditation advice, and results depend on your own use.
To the extent the law allows, our total liability to you for any claim connected with the Service is limited to the amount you paid us for the Service in the 12 months before the claim.
10. Suspension and termination
You can stop using the Service and close your account at any time. We may suspend or end your access if you seriously or repeatedly breach these Terms or the Acceptable Use Policy, if required by law, or if we reasonably believe your use poses a risk to other users or to us. Where it is fair to do so, we will give you notice first. If we end your paid subscription other than because of your breach, we will refund any period you have paid for but not received.
11. Complaints
If something goes wrong, contact us first at info@cerno.group and we will try to put it right. UK and EU consumers may also have access to online dispute resolution and to their local consumer protection bodies.
12. Other terms
- Whole agreement. These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund and Cancellation Policy, are the whole agreement between us about the Service.
- We may update these Terms. If we make a significant change, we will give you reasonable notice (for example by email or in-app). Continuing to use the Service after a change means you accept the updated Terms; if you don't accept, you can stop using the Service and cancel.
- Transfer. We may transfer our rights and obligations under these Terms to another organisation (for example, if we sell the business); your rights will not be affected. You may not transfer your rights without our consent.
- If a term is unenforceable, the rest of the Terms still apply.
- No waiver. If we don't enforce a term, that doesn't mean we give up the right to do so later.
13. Governing law
These Terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales. If you are a consumer resident elsewhere, you keep the benefit of any mandatory consumer protections of your country of residence, and may be able to bring proceedings there.
